Houston InterWeb Design, Inc. specializes in Web site and software development, hosting and data warehousing. The Company develops sophisticated Internet-based solutions and provides e-services consultancy to international companies and startup businesses. These solutions focus on business-to-consumer and business-to-business electronic commerce, digital customer relationship management, supply chain optimization, electronic markets and Internet portals. The Company offers four core services: digital business/legal strategy; creative design and software development; technology development and systems integration and integrated engagement leadership.

SiteBlazer.com allows companies to build customized, updateable web sites within minutes, at a reduced cost. Currently, the Company hosts over 40,000 sites built using SiteBlazer™ technology. PoliticalNet.com and PoliticalTeam.com are one-stop political campaign sites that provide politicians, organizations and political groups a full range of Internet as well as traditional products such as automated dialers, automated phone calls, Cyber-Pitch™ cards, print graphic design, web site design, fax blasting and voter data. Currently, the Company hosts over 236 web sites for candidates and organizations. The subsidiaries of the Company are AMP3.com, LLC, PoliticalNet.com, Inc., OTC News Network, Inc., ToniscandTeas.com, Inc. and CyberPitch.com. The Company acquired Team Productions Inc. in fiscal 2000. It also acquired a 33% interest in Beijing Artists Online Co. Ltd. and a 30% interest in Brazil InterWeb Design in fiscal 2000.

InterWeb Management has focused and specifically targeted high growth international markets such as China, Brazil, Central America, Mexico and Europe for its fully developed software and services. InterWeb was one of the first internet companies to solidify relationships with the PRC in November 1999, prior to WTO passage in the U.S. InterWeb’s international presence allows the Company to effectively become involved in international transactions of all types including: telecommunications, broadband, ISP, internet consulting, software development, PC manufacturing and entertainment. The Company invests in R&D and has filed several patents and trademarks to protect its intellectual property globally.

Currently, InterWeb’s holdings include a 100% ownership in Political Team, a 20% interest in OTC News Network, Inc., a 100% interest in Cyber-Pitch.com, Inc., a 33% interest in Beijing Artists Online L.L.C., and a 20% interest in Brazil InterWeb Design. InterWeb also has several licensing agreements with companies in Mexico, Panama and China, as well as an agreement with the Chinese government.

Beijing Artist Online

Houston InterWeb has formed a joint venture with the Chinese government and a Chinese investment company to build the first governmentally approved MP3 music site in China. Although the Chinese government has adopted an open-door policy toward letting its citizens use MP3 players and download music, every Chinese song posted on a Web site still requires approval by the Ministry of Culture.

The objective of the joint venture is to promote Chinese music through the use of InterWeb’s advanced Internet technology, both in China and overseas. By creating a gigantic MP3 portal for its 1.2 billion people, the Chinese government can also create a completely new, financially sustainable music distribution platform for its artists. Asian Internet usage is expected to reach nearly 374 million people by 2005. This, combined with China’s rapid economic growth, will create an ideal marketplace for the MP3 site as well as other products and technologies InterWeb can provide.

China Preventive Medicine Association

InterWeb has signed an agreement with the China Preventive Medicine Association (CPMA) to build an enormous Internet community for more than 800,000 preventative medical professionals. The CPMA is a national academic body under the direct leadership of the Ministry of Health.

The Chinese government has always attached significant importance to the policy of “prevention first”. The CPMA has approximately 100,000 members consisting of scientific and technological professionals in the fields of preventive medicine. The association publishes 32 periodicals on specialized subjects such as occupational medicine, hygienic insecticide, food hygiene and erroneous diagnoses.

Traditional Chinese Medicine

InterWeb has singed an agreement with the Chinese government to put 5,000 years of traditional Chinese medicine (TCM) online. This will be done through a new Internet portal that will be built through a joint venture company set up by InterWeb, the State Administration of Traditional Chinese Medicine and Hainan Dingshen Investment Company Ltd. The portal will offer everything from real-time diagnosis to TCM information, products and services. Its goal is to capture a major share of the online market for herbal remedies and alternative medicine products. Estimates of the market potential for traditional Chinese medicines vary from $5 billion to as much as $100 billion in the U.S. alone.

The role of TCM in Chinese society has even been included in the Chinese constitution. Through its cooperation with InterWeb, China wants to give TCM broader access to international markets. China has over 2,600 TCM hospitals, 28 TCM medical unions and over 2,000 factories producing TCM pharmaceuticals.

OTC News Network, Inc. (OTCNN)

OTCNN (OTCNN.com) is the first major daily online news source focusing exclusively on providing unbiased and reliable daily news coverage of the Over-The-Counter Bulletin Board (OTCBB) stock market, the companies that trade there and the trends that affect them and their shareholders. The OTCBB is a market supported by the National Association of Securities Dealers (NASD), the organization behind NASDAQ. The OTCBB is the fastest growing stock market in the U.S. with 3,900+ companies.

In just a little over a year, the OTCBB market has transformed its image from that of a wild, unregulated market which was home of countless con-artists and stocks scams to a closely regulated market that hosts thousands of legitimate publicly traded companies that are all in full compliance with the SEC’s reporting requirements. SiteBlazer™ (www.siteblazer.com) is a Houston InterWeb-designed tool that provides a high-quality, affordable solution for Web site design, maintenance, and hosting. By using SiteBlazer™ technology, anyone can create a professional Web site in just 10-15 minutes, and later update it without any programming knowledge.

When SiteBlazer™ sites are created, description and keywords (meta tags) are automatically embedded to attract search engines. SiteBlazer™ has licensees in Mexico City and Monterrey, Mexico, Panama City, Panama, Brazil and the United States.

Cyber-Pitch.com, Inc.

Cyber-Pitch.com, Inc. is a wholly owned subsidiary founded by Bob Watson - former General Manager of the Houston Astros and the 1996 World Series Champion New York Yankees and InterWeb. It focuses on revolutionizing the way sports is marketed worldwide by utilizing the Internet and other interactive technologies.

Cyber-Pitch.com’s flagship product is the Cyber-Pitch™ card. It boosts the CD-ROM to mass acceptance as a marketing tool. The awkward size of traditional CD-ROMS and the accompanying jewel cases inhibited distribution, but not for business card sized Cyber-Pitch™ cards. It is simple, efficient, and more convenient than any other media, while adding a novelty and collectible factor. It even links directly to the Web! The Internet is essential to marketing, but you can’t hang it on clothes, trade it, hand it out at promotions or take it with you on a plane. Cyber-Pitch™ card is ‘real world’, but that packs multimedia punch and can drive Web traffic.

Brazil InterWeb Design (BID)

Brazil InterWeb Design (BID) is a joint venture between InterWeb (30%) and a group of leading Brazilian Internet investors and marketers (70%). BID offers Internet related products and services, such as Web site development, hosting and maintenance in the rapidly growing Brazilian Internet market.

By leveraging InterWeb’s existing and proven technology with the Brazilian team’s marketing knowledge and expertise, BID has the unique ability to capture a large market share in a short period of time with minimal start-up cost. In other words, BID can capitalize on a large library of InterWeb’s existing technologies and modular Internet products. BID will also license InterWeb’s SiteBlazer™ site building technology to its Brazilian customers.

Brazilian Internet market is soaring. Brazil leads the region in the number of Internet users with 41% of the regional market. That’s twice as many Internet users as Mexico and four times as many as Argentina.

The Latin American Internet services market had a value of $1.4 billion in 1999, representing a 22% increase over the 1998’s totals. Additionally, IDC projects that the Latin American Internet market will reach a value of $8.1 billion in 2004.

Harry White - CEO

Harry L. White has served as Chairman, Chief Executive Officer, President, Secretary and Treasurer of the Company since inception. From December 1986 through February 1997, Mr. White worked at Air Products and Chemicals, a hydrogen production company, as the senior plant technician from December 1996 to February 1997. Mr. White also served as an ISO 9000 Manager from January 1994 to February 1997.

Lee Magness - CFO

Lee A. Magness has served as Chief Financial Officer, Director of the Company since inception. Since August 1993, Mr. Magness has served as a financial consultant to various individuals and corporations. Prior to receiving his law degree from Thurgood Marshall School of Law, Mr. Magness served as a Senior Economic Analyst at Transco Energy Corp. (now Williams Companies) and an Economic Analyst in Regulatory Affairs Dept. at Panhandle Eastern Pipe Line Company (now Duke Energy). Mr. Magness has a BBA in Accounting, and an MBA in International Finance.

Richard Finn - CTO

Richard J. Finn has served as Chief Technical Officer and Director of the Company since inception. From December 1995 through February 1997, Mr. Finn served as the assistant Webmaster of Neosoft, Inc., an Internet service provider currently owned by Internet America, Inc. From August 1995 through December 1995, Mr. Finn served as the assistant network administrator of Cybersim, an Internet service provider. From October 1994 through August 1995, Mr. Finn served as an assistant network administrator for Triconex Systems, Inc.
