INTRODUCTION

CCC Internet Solutions Inc. based in Mississauga, Ontario was formed July 1999. In October of 1999 CCC launched its first endeavor, Carcostcanada.com and on October 30, 2000 completed a reverse takeover of Duke Capital Corp. of Vancouver, British Columbia. CCC thus established itself as the exclusive Canadian automotive information service that offers the availability of new car dealer invoice cost information available live on-line 24/7 on most vehicles available for sale in Canada.

CCC Internet Solutions Inc. is an Automotive Information Service provider that owns and operates revenue producing automotive related web sites.

THE COMPANY'S MISSION

CCC Internet Solution's mission is twofold. Firstly, to be an incubator for the development of innovative and technologically advanced systems that can harness the full power of the Internet. By taking common hands-on, manually redundant procedures and replacing them with automated and simple-to-use technology, the Company can assist in increasing the efficiency of any organization. Secondly, to target specific market niches with products and services that address consumer and corporate demand for more information and innovative ways of doing business.

(1) Carcostcanada.com

CCC Internet Solutions Inc. creates Carcostcanada.com to make the Canadian automotive consumer's life easier.
Carcostcanada.com is an innovative, full-service company offering the most comprehensive and up-to-date buyer information available. Their goal is to aid the customer in making the most informed choices possible by providing them with accurate and timely data. Their leadership in the market of providing Dealer Cost Prices to the Canadian buyer puts them in a unique category of service. It is their goal at Carcostcanada.com to make the experience of buying a new vehicle less time-consuming, stressful, and expensive for the customer.

(2) Freeinvoiceprices.com

Freeinvoiceprices.com allows consumers to receive the Dealer Invoice Cost Prices and all current factory incentives information. So that consumers can have an idea before they sit down to negotiate the purchase of a new car.

(3) 43r.ca

43r.ca is a wholly owned subsidiary of CCC Internet Solutions Inc. In October of 2000, with the cooperation of one of Canada's top-10 insurance companies, the Company identified a situation within the Insurance industry where many
automotive total-loss claims were not being handled as well as they should have been and thus, resulting in claims settlements that were far higher than they needed to be.

"Waiver of depreciation / 43r endorsements" are excellent products for both the consumer and for Insurance companies.

Under the terms of the Waiver of depreciation / 43r endorsement, the insurance company will pay the lowest of the following amounts (less the deductible):

· The actual purchase price of the automobile and its equipment;
· The manufacturer's suggested list price on the automobile and its equipment on the original date of purchase;
· The cost of replacing the automobile with a new automobile of the same make and model, similarly equipped.

Most adjusters settle using the first option.

43r.ca will lower claims costs by using option number 3 and using the leverage of knowing the true dealer cost price, all current cash incentive programs and minimizing the dealer mark-up.

Potential savings to the industry, based on an estimate of 50,000 claims with $1,000 saving per claim, would be upwards of CA$50,000,000 annually.

PARTNERS

CCC Internet Solutions Inc. has signed marketing partnerships with Autobytel.ca, one of the premier Canadian automotive e-commerce services and Yahoo.ca, one of Canada's premier Internet portals. Canadians shopping for their next car can now visit www.carcostcanada.com as part of their Autobytel.ca or Yahoo.ca experience and receive preferred membership prices. Since starting with Autobytel.ca in April 2001, CCC memberships have increased by close to 20% based on their clientele alone. The Yahoo.ca program launched in July 2001 has resulted in a significant increase in traffic to the Company's website. As they accelerate their joint marketing efforts they expect to see this increased traffic converted into increased revenues as well.

MANAGEMENT

CCC Internet Solutions Inc. has a strong management team with experience in different areas. The three main directors, Paul Timoteo, James Matthews and Eli Oszlak, combined has over 50 years of experience in the automobile industry. They understand the ins and outs of how industry works.

Paul Timoteo, President & CFO

President Mr. Paul Timoteo, who lives in Mississauga, Ontario has been involved in the new and used car sales and leasing fields for the past 16 years. Mr. Timoteo has been a director of CCC from August 1999. He was the Leasing Manager for Autolynn Exotic Cars, Ontario, from 1989 to 1990. Mr. Timoteo is also a co-founder and President of Lease Busters Inc., an Ontario based independent automotive sales and leasing company that has been in operation for the last 10 years.

James Matthews, Chief Executive Officer

Mr. James Matthews, who lives in Mississauga, Ontario has been involved in the new and used car sales and leasing fields for the past 16 years. He has a bachelor's degree in economics from York University in Toronto and has been co-owner and general manager of Lease Busters Inc. since 1990. Prior to co-founding Lease Busters Inc., Mr. Matthews, held the position of general sales manager at West York Chev-Olds.

Eli Oszlak, Chief Technology Officer

Mr. Eli Oszlak, who lives in Toronto, Ontario has experience in both the automotive and technology fields. Mr. Oszlak has been a director of CCC from August 1999, prior to which he worked as a Client Service Representative for Nortel Networks. He was a self-employed Field Service Technician from 1995 to 1997, after which time he was employed as a Field Service Technician for GE Capital Technology Management Services. Mr. Oszlak has been a Sales Representative for Dean Myers Chevrolet Oldsmobile (1991) Ltd. and Sharp Automotive.

Both Carcostcanada and 43r increased their market share. During the quarter, 43r also made significant inroads with many new insurance companies both private sector as well as provincially run. Preliminary indications with these new companies are quite positive and the Company anticipates results will translate into additional business of significant magnitude. Their previously reported insurance companies, including ING, Belair Direct, RBC, Wawanesa, Allstate, Pembridge, Cooperators, Western Union and CAA, continue to expand the implementation of their service as their nation wide rollout continues.
