INTRODUCTION

Jazz Resources Inc. is a junior resource mining company focused on acquiring, exploration, andJazz1.jpg (53671 bytes) developing mineral properties. The objective of the Company is to carry out its exploration program on the Teddy Glacier, Spider Mine and Burniere properties located in the Revelstoke mining district of British Columbia, Canada. Jazz Resources has 14,281,105 shares issued and outstanding and trades on the TSX Venture Exchange under the symbol JZR.

The Company has exceptional infrastructure. There is paved road access to within 35 km of the properties and after that access is by well maintained forest service road (FSR). Under a cost sharing agreement with the B.C. Ministry of Forests and Range, the Company rebuilt the Fish River Canyon Bridge on the main road to its properties. Jazz Resources holds the FSR permit for the Fish River Canyon road.

PROJECT IN HAND

Teddy Glacier Project
Jazz2.jpg (77962 bytes)
The Company's 100% owned Teddy Glacier Property known to contain high grade gold/silver/lead/zinc/copper polymetallic vein and stockworks. The Teddy Glacier Property is composed of a block of mineral claims covering 2,000 hectares (approximately 5,000 acres) located 40 km southeast of Revelstoke and 11 km northwest of Camborne, in the Lardeau Mineral Belt, British Columbia. The property has a long history of exploration and development.

The area forms the northern end of what has been called the Lardeau Mineral Belt, a 50 km long belt of mineral deposits and showings extending from southeast of Trout Lake northwest to the Teddy Glacier area.

A NI 43-101 technical report on the Teddy Glacier Property (available on SEDAR) has been prepared by J.T. Shearer, M.Sc., P.Geo. The report recommends a bulk sample program to characterize mining conditions and milling parameters and a diamond drill program to identify resource areas.Jazz3.jpg (33225 bytes)

Samples from the property collected in 2004 assayed from 0.082 to 1.88 oz/t gold, 7.23 to 22.9 oz/t silver, 8.86% to 27.5% lead and 5.11% to 22.1% zinc. In 2009, mined samples assayed on average 13 g/t gold, 327 g/t silver, 18.6% lead, 12.5% zinc and 1.2% copper.

In August 2009, Jazz Resources reported that a new extension has been discovered at the Teddy Glacier Property. The new showing was found in the Vimy Ridge area. The mineralization is similar in character to showings found in the Vimy Ridge area previously and is believed to be an extension of that vein system.

Spider Mine Project

The Spider Mine Property, located close to Camborne, B.C., is comprised of 17 Crown granted mineral claims. The Company also owns in fee simple two large adjoining acreages, one of which includes the town site of Camborne.

The Spider Mine was a producing mine from 1952 to 1958. Total production to the end of 1958 was 371 kilograms of gold, 53,481 kilograms of silver, 85 tonnes of copper, 10,845 tonnes of lead, 11,519 tonnes of zinc, 60 tonnes of cadmium and 4 tonnes of antimony from 128,063 tonnes of ore with a recovery grade of 0.09 oz/t gold, 12.2 oz/t silver, 8.6% lead and 9.14% zinc. This vein was developed from surface to a depth of 200 metres. Mineralized material, of grades similar to what was mined previously, was intersected in drilling an additional depth of 70 metres below this level.

In May 2008, the Company released a NI 43-101 compliant Technical Report on the Spider Mine prepared by J.T. Shearer, M.Sc., P.Geo. The report can be viewed on SEDAR.
The report recommends a program of surface drilling, underground diamond drilling, and drifting.

The Company's intent is to re-open the mine.

Burniere Project
Jazz6.jpg (48797 bytes)
In September 2009, Jazz Resources acquired eight existing mineral claims, the Burniere claims, adjoining the Company's Teddy Glacier Property. The claims are accessible and have good exploration potential. The claims, totalling 632 hectares, cover part of the Lardeau mineral belt and contain the historic "Agnes" and "Burniere" showings. The showings contain gold, silver, lead, and zinc.

NEWS UPDATE

On June 14, 2011, Jazz Resources Inc. announced that Keystone Environmental has begun phase 2 of the baseline environmental studies. The results of which will be used to support the permit application for a pilot mill at Camborne, B.C.

On March 29, 2011, Jazz Resources Inc. announced that it has engaged Keystone Environmental to conduct an environmental study at the former Spider mine mill site near Camborne, B.C. The result of the study will be used to support the permit application for a pilot mill at the site. The pilot mill will be used to process bulk samples from the Teddy Glacier property and mineralization from the Spider mine.

A biologist and a geoscientist will travel to the site to collect data on vegetation and wildlife and conduct water and soil sampling.

On September 14, 2010, Jazz Resources Inc. announced the results for the representative samples collected on August 4, 2010 from the mineralization stockpile.

The stockpile was originally sampled in September 2009 at the Stephanney Creek Landing, by 7 representative samples (see News Release dated March 16, 2010). The average values for the 7 samples assayed were: 13.17g/t gold, 372.47 g/t silver, 18.38% lead, 11.96% zinc, and 1.27% copper.

The stockpile was moved and 10 new samples collected in 2010 from the stockpile at the Camborne Mill Site (the stockpile was thoroughly mixed during transport) averaged as follows: 13.013 g/t (0.38 oz/t) gold, 238.9 ppm (6.969 oz/t) silver, 13.015% lead, 14.69% zinc, and 1.175% copper.

The average of these two sampling campaigns is 13.06 g/t (0.382 oz/t) gold, 305.69 g/t (8.92 oz/t) silver, 15.70% lead, 13.33% zinc, and 1.22% copper.
