INTRODUCTION
Wildcat Exploration Ltd. was incorporated February 11, 1998 and completed its initial public offering November 7, 2000. Wildcat is a Winnipeg-based mineral exploration company actively exploring for precious and base metals in Canada. The Company is currently exploring for gold in the Bissett gold mining camp, southeast Manitoba. The Company is the largest landholder (230 square kilometres) in the area; the landholdings comprise four individual properties - the Poundmaker, Jeep, Siderock and Garner. Recent property acquisitions (November, 2004) include platinum-palladium claims near Snow Lake, Manitoba and base metals claims near Hewetson Lake, Saskatchewan. The Company has 100% interest in all the Bissett area properties and can earn a 100% interest in the other two projects.

Gold
The Poundmaker property, largest of Wildcat's landholdings, comprises some 14,075 hectares (20 km by 6 km) and is transected by provincial highway 304. The property lies 3 km northwest of the San Antonio gold mine with a 1.2 million ounce production history. The property is underlain by volcano-sedimentary rocks crosscut by the Wanipigow fault. The Wanipigow fault is a regional structure controlling gold mineralization in the Bissett gold mining camp and is similar to the Porcupine-Destor and Larder-Cadillac "breaks" in
the Timmins and Kirkland Lake gold
camps respectively. The Poundmaker property hosts over 16 known gold showings some with historical underground workings.
The most advanced showing is the Poundmaker deposit, a shear-hosted, lode gold, quartz vein system. Near-surface high-grade gold mineralization has been intersected immediately southeast of the Poundmaker shaft. Drill intercepts in this area include holes 2004-3 (41.5g/t over 0.6m), 2001-2 (5.7 g/t over 3.0m), 2001-3 (12.1 g/t over 0.45m, 20.2 g/t over 1.1m), 2001-4 (14.9 g/t over 0.42m) and 2001-7 (13.7 g/t over 1.4m). This mineralization is open to the southeast along strike and down plunge. The 2005 summer exploration program will include an evaluation of recent discoveries made on the property (e.g. Lady Gold Zone - assays up to 12.41 g/t) and on historical showings (e.g. Reo showing - assays up to 17g/t; Clinton shaft and adit area - assays up to 10g/t).
A recent government geophysical interpretation of the area underlying the Poundmaker property indicates a new prospective gold mineralizing environment. At the west end of the property south of Wanipigow Lake is a regional fold structure intruded by feldspar porphyries and crosscut by a regional shear zone(s) with significant iron carbonate alteration. Quartz veining and tourmaline alteration is prevalent in the area.
On the Jeep property two broad target areas have been identified; (1) the Jeep gold deposit and (2) a new discovery (2005) comprising ankerite-chlorite-pyrite-quartz alteration in iron formation. J. Stephenson (1972) indicated "that in its (Jeep Mine) two years of operation, ending in 1950, 14,477 tons of ore averaging 0.825 oz per ton gold were shipped to the San Antonio mill" as feed. The depth potential of the deposit remains open. Immediately to the southeast of the Jeep deposit is an airborne magnetic anomaly ("magnetic bullseye"). The relationship between the magnetic anomaly and the Jeep gold deposit is unknown. Preliminary backhoe stripping in the area of the magnetic anomaly revealed highly silicified gabbro with pyrite, pyrrhotite and chalcopyrite mineralization. The best of four grab samples assayed 0.44% nickel, 0.18% copper, 1.4g/t palladium, 0.39 g/t gold, 65 ppb platinum. MMI geochemical anomalies have been identified over the magnetic anomaly.
The second target area occurs in a sequence of intercalated volcanics and iron formation. Ankerite-pyrite-quartz alteration occurs within the iron formation and at the volcanic contact. This area will receive extensive backhoe stripping in the summer of 2005.
The Siderock property encompasses a geological environment similar to the Red Lake gold camp i.e. is underlain by rocks of Mesoarchean and Neoarchean age, separated by an unconformity, along which extensive and intensive shearing is accompanied by iron carbonate alteration. Mesoarchean assemblages contain komatiitic and mafic flows, gabbro and iron formation. This geological environment has only recently (2001) been recognized and represents a new geological model for significant gold deposition in the Bissett mining camp. In 2004 a new gold discovery, the Portage Gold Zone, located in the south-central part of the Siderock property. The gold zone is over 1.8 kilometres long and 400 meters wide;
mineralization is open along strike. The zone contains over 60 scattered, surface gold occurrences ranging from 100 ppb gold up to 23g/t gold.
Between January 15 and February 9, 2005 a preliminary eight hole (1,472 meter) diamond drill program was conducted on the Portage Gold Zone (Figure 1 for drill hole locations: at www.wildcat.ca; March 30, 2005 Press Release). The objective of the program was to test the subsurface extent of gold mineralization found at several surface gold occurrences and geochemical anomalies identified by a recent MMI survey. There is no record of previous diamond drilling in this area.
Six of the eight holes drilled intersected anomalous gold. Drill holes SR-2005-4 and -09, testing MMI soil anomalies north of the Portage Gold Zone, intersected anomalous gold which expanded the Portage Gold Zone from 200 to 400 meters in width. Drill hole SR-2005-4 intersected 1.42g/t gold over 2.6 meters (including 2.92g/t gold over 0.40 meters), 0.48g/t gold over 2.4 meters, 0.42g/t gold over 1.0 meters, 0.48g/t gold over 2.4 meters (including 1.05g/t gold over 0.4 meters) and 0.28g/t gold over 2.0 meters and 6 other, distinct and separate, "spot" gold anomalies ranging from 0.15 g/t to 0.65 g/t. Drill hole SR-2005-9 intersected two, low-grade gold, intercepts 0.45 g/t gold over 0.7 meters, 0.16 g/t gold over 1.1 meters and four "spot" gold anomalies ranging from 0.14 g/t to 0.31 g/t. The gold zone is open in all directions.

The Garner Lake property is underlain dominantly by Mesoarchean volcanic, plutonic and sedimentary rocks that are transected by the Beresford shear zone and splay off the latter structure. Significant carbonate-sericite alteration occurs along the shear splay. To date minor drilling has been conducted in the area. Several historical gold showings occur on and nearby the property. Line-cutting, MMI soil geochemistry, prospecting and geological mapping was completed on the property in 2005.
Platinum-Palladium
The Reed Lake project comprises platinum-palladium mineralization hosted in a tholeiitic layered intrusion of mafic-ultramafic composition. The intrusion, approximately 6 km in length and 4 km in width hosts geochemically anomalous PGE and gold mineralization along the upper contact of an ultramafic layer. The intrusion has not been mapped or sampled in detail and very little historical exploration has been conducted.
Base Metals
The Foster River project has geological characteristics similar to the Broken Hill Main Lode, a world-class deposit developed by BHP in Australia. The Broken Hill deposit hosts greater than 300 million tonnes of zinc, lead and silver in excess of 15% combined zinc and lead.
The Foster River property is located 140 km northwest of La Ronge in the Hewetson Lake area, Saskatchewan. The property lies along the eastern margin of the Wollaston Domain that comprises a sequence of polydeformed and metamorphosed Paleoproterozoic sediments overlying Archean granitoid basement. Base metal mineralization (zinc, copper, lead and silver) occurs along the eastern margin of the Wollaston Domain and spans several hundred kilometers from the George Lake deposit to the north to the Cable showing in the south. In the Hewetson Lake area, a 45 kilometre long "favourable" mineralized horizon stretches between the Mackie and Cable showings and contains numerous mineral occurrences.
The Foster River property encompasses a 20 km span of this 45 km long mineralized horizon. The property hosts five Zn-Pb, one Cu and one Au showings. The main showings are Sito East, Sito West, Sito South, George and Fable. The Foster River property contains widespread zinc mineralization in the form of laterally extensive boulder trains and in-situ mineralization comprising surface bedrock and diamond drill holes.
The Fable Lake showing comprises an extensive gossan traced along strike discontinuously for several kilometres with zinc mineralization encountered in widely spaced drill holes. Previous diamond drilling intersected
approximately 7.5% zinc over 4 meters and 3% Zn over 40 meters. Diamond drilling has been limited and shallow. At the Sito East showing, preliminary diamond drilling defined a small mineralized zone of approximately 50,000 tons grading 4.5% zinc: mineralization is open along strike and at depth. Mineralization at Sito West may be related to the Sito East
showing via regional folding; the intervening area - representing several kilometres - has not been explored.
A helicopter-borne magnetic and electromagnetic survey has been completed over the entire property by Wildcat in March, 2005. The Company will be conducting its first field exploration program beginning August 2005. The exploration program will include geochemical surveying, geological mapping and prospecting.

Chairman: Jerrold Siemens is a successful businessman in the agricultural field and hog farming industry, has successfully helped the company with its financings for the past several years.
President & Chief Operating Officer: Edward Sawitzky, P.Geo, with 30 years gold and base metal exploration experience across Canada, working for both major and junior mining companies. Prior to joining Wildcat Exploration Mr. Sawitzky was Regional Exploration Manager for Central Canada with Aur Resources.
Exploration Manager: Tim Tuba has 10 years experience in gold and base metal exploration in Central Canada with such companies as Aur Resources, Bema Gold, Rare Earth Metals, Canadian Gold Hunter, and Manitoba Industry, Trade and Mines. Prior to joining Wildcat Exploration Mr. Tuba was the on-site project manager at the Monument Bay gold project in Manitoba for Bema Gold Corp.

NEWS UPDATE
On February 07, 2006, Wildcat Exploration Ltd. announced that its current drill program in the Bissett area has been terminated due to exceedingly mild weather conditions. Similarly, the diamond drill program proposed for the Siderock property cannot be completed at this time due to mild weather conditions. The property is inaccessible due to insufficient ice development over lakes and wetlands required to be crossed to access the drill area. The Company is working on a contingency plan that would allow it to complete its proposed drill program later this winter. This plan is contingent upon a) cold weather prevailing over the Bissett area over the next few weeks and b) a drill contractor can be found to complete this work.
On December 15, 2005, Wildcat Exploration Ltd. announced that on December 14, 2005, the first closing on non-brokered private placements totalling $520,000 which was first announced November 30, 2005. Proceeds from this offering will be used to advance the Company's on-going projects in the Bissett gold mining camp of Manitoba and the Foster River base metal project in Saskatchewan.
On October 31, 2005, Wildcat Exploration Ltd. announced more encouraging gold assay results from prospecting activities at the Liberty gold showing located on the Poundmaker property, in the Bissett gold camp, southeast Manitoba. Initial sampling at the Liberty showing by Wildcat returned high-grade gold assays. Additional, a one-day prospective program was conducted southeast of the Liberty showing and encountered two old trenches that returned significant gold values. The Liberty showing now has a 35 metre strike length of alteration and quartz veining carrying up to 59.2 g/t gold. Alteration and shearing continue along strike in both directions.
On October 17, 2005, Wildcat Exploration Ltd. announced that re-sampling north and south of the Marlin showing returned more significant gold assays. The Marlin showing which yielded up to 153 g/t gold lies within the Garner Lake property located in the Bissett gold mining camp, southeastern Manitoba. To date, gold mineralization has been shown to occur along a 500 metre strike length of the Beresford Lake Shear Zone. It is Wildcat's intent to further prospect this shear zone for further gold mineralization.
On September 23, 2005, Wildcat Exploration Ltd. announced the very encouraging gold assay results from recent prospecting activities on the Poundmaker property located in the Bissett gold camp, southeast Manitoba. Significantly higher grade gold assays were obtained from a second round of sampling on the Roderick showing than initially reported (July 29, 2005). In the main showing area two separate trenches returned: 21.2 g/t and15.1 g/t gold from vein material in one trench and 20.3 g/t gold from blast rock within the second trench. From other parts of the Poundmaker property; a grab sample assaying 9.5 g/t gold was taken from the Mike-Power grid located on the OLD EDKE 1 claim, L 3+40E, 3+70S. The sample came from a trench with quartz veining in altered felsic volcanics.
On September 19, 2005, Wildcat Exploration Ltd. announced that high-grade assays were obtained from surface samples collected during the Company's initial mapping program on the Garner Lake property located in the Bissett gold mining camp, southeastern Manitoba. Wildcat commenced its first mapping program on the Garner property in July 2005. Exploration for 2005 was completed September 1. Two gold occurrences were discovered during this phase of exploration. Gold assay yields 153 g/t gold.
On July 29, 2005, Wildcat Exploration Ltd. announced the encouraging assay results from early summer prospecting activities on the Poundmaker and Jeep properties located in the Bissett gold camp, southeast Manitoba.
On the Poundmaker property a northeast trending shear zone appears to be the loci for at least two gold showings, the Roderick and the Rios, and possibly several others including the Grand Central.
During a brief site visit to the Roderick showing Wildcat geologists collected four samples which returned the following assays 9.67 g/t, 9.39 g/t, 5.7 g/t and 50 ppb gold.
Sampling by Wildcat geologists of the Rios showing proved difficult because of overburden and present high levels of water. Random grab samples assayed from 2.3 g/t up to 16.9 g/t. There is no recorded diamond drilling on this showing.
On the Jeep property, 11 km east of Bissett, an airborne magnetic anomaly is located immediately southeast of the Jeep gold mine. Line-cutting, geophysical surveying and MMI geochemical sampling has been completed over the magnetic anomaly. "Prospecting" with a backhoe was employed over the magnetic anomaly because there is very little outcrop in the area. This work discovered a new mineralized zone, locally strongly deformed and altered (silica, carbonate, epidote) gabbro containing disseminated, stringer and semi-massive sulphides (pyrite, pyrrhotite, chalcopyrite). The best grab sample assayed 0.44% nickel, 0.18% copper, 1.4 g/t palladium, 0.39 g/t gold, 65 ppb platinum.
On June 28, 2005, Wildcat Exploration Ltd. announced that it has entered into an agreement for a non-brokered private placement for total proceeds of $300,000. The placement consists of 750,000 units at $0.40 per unit, each unit comprised of one flow-through share and one half warrant, each full warrant entitling the holder to acquire one common share on the payment of the exercise price of $0.70 per full warrant for a period of twelve months from the closing date. Proceeds from the offering will be used to advance the Company's on-going projects in the Bissett gold mining camp of Manitoba and the Foster River base metal project in Saskatchewan. Wildcat continues to pursue further financing in the short term.
On May 12, 2005, Wildcat Exploration Ltd. announced the commencement of its summer exploration program in the Bissett gold mining camp located in southeastern Manitoba. Following the success of last year's preliminary work conducted on the Poundmaker and Siderock properties in the Bissett area, the Company will continue to explore the latter properties and also begin evaluation of their wholly-owned Jeep and Garner properties.
On May 05, 2005, Mark Fedikow of Mount Morgan Resources began a multi-element MMI geochemical survey over the Poundmaker, Jeep, Siderock and Garner properties where an estimated 2,000 samples will be collected. On the Siderock property, north side of Portage Gold Zone, two MMI anomalies established during a 2004 geochemical survey were drill tested in February 2005. Both drill holes returned highly anomalous gold intercepts and helped expand the width of the Portage Gold Zone to a minimum 400 metres (Press Release March 30, 2005). The Company hopes to generate drill targets based on anomalies resulting from an MMI survey conducted along an ankerite-sericite-quartz altered shear zone paralleling an unconformity between Mesoarchean and Neoarchean rocks located along the north shore of Siderock Lake. The geology of the Siderock property closely reflects the geology underlying the Red Lake deposits.
The Company's first foray onto the Garner Lake property will focus on a recent discovery made by Manitoba Industry, Trade and Mines government geologists. An ankerite-chlorite-quartz alteration associated with the Beresford shear zone was found which trends through the heart of the property and presents a significant gold exploration target. Exploration on the Jeep property will be centered on the Jeep mine site with a past production of 14,477 tons of ore grading 0.825 oz/t. On the Poundmaker property Wildcat will continue to evaluate the numerous historical showings (shafts, adit, and gold occurrences) on the property and several exciting in-house generated targets.
On April 01, 2005, Wildcat sold to Grandview Gold Inc. a small group of claim fractions comprising a total of 234 hectares located south of Rice Lake. This will allow Wildcat to focus exploration on its extensive landholding elsewhere in the Bissett gold camp. Wildcat will plan, implement and manage the exploration program with Edward Sawitzky, P.Geo. as the Qualified Person.
