INTRODUCTION

Gee-Ten Ventures Inc. is a Canadian public company that is traded both on the Canadian TSX Venture Stock Exchange and the OTC Bulletin Board. Its mission is to develop both gold and diamond mining projects at the international level and to put the necessary factors into play to finance and bring economically promising projects to terms. The Company currently concentrates most of its efforts on major diamond projects in Africa. The experience and expertise of Gee-Ten Ventures Inc.'s management strengthen the Company's potential for success.

Gee-Ten Ventures Inc.'s main mission is currently to develop gold and diamond projects in Africa, and more particularly in Angola. The main player in achieving this objective is Mr. Paul Bourque, who has extensive experience in the mining sector in Africa. For more than three years, Mr. Bourque and Mr. Yaovi Bouka, a Gee-Ten board member have worked together with the leaders of Angola in order to reach agreements to develop gold and diamond projects. During his many trips to Angola, Mr. Bourque has established very close ties with, among others, the Minister of Geology and Mines in Angola, His Excellency Manuel Antonio Africano, the Deputy Minister of Mines responsible for gold mine, Dr. Mankenda Ambroise as well as with the Deputy Minister of Mines responsible for diamond mines, Dr. Samuel Armando Tito. Mr. Bourque has also established a very good relationship with the main managers of the national diamond company of Angola, Endiama. Among these are relationships with the President and Chief Executive officer of Endiama E.P., Mr. Manuel Arnaldo de Sousa Calado, as well as with another very important player at Endiama, Dr. Manuel Watangua, who is the Executive Officer and Administrator of Geology and Production.

PROJECTS IN HAND

(1) Bald Mountain Gold Property in Nevada, U.S.A.

The Bald Mountain gold property (AAA claims) includes 16 claims that cover a total area of 331 acres (134 ha). Each of
gee-ten1.jpg (69623 bytes) the claims covers an area of 600 feet by 1,500 feet (183 m by 457 m). This property, which is located in the Nye County region of Nevada, U.S.A., is approximately eight (8) km from the Round Mountain mine, which is in production and belongs to Barrick Gold. In 1988, the company had reserves of eight (8) million ounces of gold and 30 million ounces of silver.

The Bald Mountain property is situated at latitude 38 degrees 35'30" north and at longitude 117 degrees 00'25" west. Gee-Ten Ventures Inc., through its subsidiary American Ricafuerte Corp., owns 100% of the Bald Mountain property. This property is characterized by a pattern of gold deposits that indicate a strong probability of a major economic gold deposit. Plus, the property contains significant gold mineralization based on soil valued (up to 6,980 ppb), surface trenches (up to 540 ppb) and samples drawn during drilling (up to 50 feet) (15.2 m) of 0.033 oz/t of gold. Management is currently negotiating with two public companies to launch a joint venture to complete a new exploration program.

(2) Chazel Property in Quebec, Canada

Gee-Ten Ventures has acquired in its entirety is the Chazel property, situated approximately 18 km north of La Sarre, Quebec. This property, which is easily accessible by road, represents eight claims of a total of 320 hectares. The property is characterized by volcanic and acidic rock. Previous drilling and reports on the property resulted in the discovery of sulphureous ground that is very rich in nickel and copper mineralization. Due to the potential of this project, an exploration program will be presented shortly.

(3) Seven Projects in the Republic of Angola, Southern Africa

The board of directors and the Company's main shareholders have decided to concentrate their diamond mining efforts in

The Company's main objective with regards to Angola is very clear: to work in Angola to find high-level diamantiferous properties and to finance the projects that are deemed to be of high quality, in order to bring the properties with strong economic potential into production.

The Gee-Ten Ventures Inc. team recently closed seven agreements in principle (memoranda of understanding or MOR) that represent seven projects, namely the Sambuege Project in the Lunda Norte region (the best diamond region in Angola, represented by several companies in production), which is an alluvial and kimberlite diamond project, the Lola Project (a kimberlite diamond project), the Massangano Project (a gold project), the Damba Project (a kimberlite diamond project), the Canzama Project (an alluvial diamond project), the Lombe Project (a kimberlite diamond project) and the Tchimpoia Project (an alluvial diamond project with the possibility of a primary kimberlite find). The majority of these projects are situated in the province of Lunda Norte in Angola, where diamond production is very high and of a very high quality. Mr. Bill Jarvis (P.Eng.) is the geologist who has been appointed by Gee-Ten Ventures Inc. to these projects. Mr. Jarvis has impressive experience in diamond mining in Africa, which he has gained over several years, and he is currently in Angola full time to evaluate the projects in order to produce a geological report on the properties. This report will be available shortly.

WHY MINING IN ANGOLA?

Angola has extensive diamond reserves (estimated at 180 million carats), principally in the province of Lunda Norte and Lunda Sul in the central and northeastern parts of the country. To date, approximately 700 kimberlites have been located in the country. Most of the diamond rich kimberlites are located along a north east - south west trend that extends in to neighbouring DRC. Diamond production generates over $650 million annually, although exact numbers are uncertain due to the amount of illegal diamond mining and smuggling.

Angola produced an estimated 5.1 million carats in 2001(officially). Almost all of this production was from alluvial and kimberlite deposits in the Catoca, N'Zagi and Lucapa regions. Developing projects that also produced include the Calonda, Mufuto, Luo and Cuango areas. Analysts predict that Angola's annual diamond production could eventually exceed six million carats in the coming years as more kimberlite diamond mines are placed into commercial production. Artisanal miners account for more than half of Angola's production, estimated at 2 Mct per year.

In an attempt to regulate its diamond market, the Angolan government has introduced several steps to control diamond trade. New legislation has been passed stating that all buying and selling of Angolan diamonds was to go through state owned company Sodiam (part of the Ascorp joint venture with Israeli businessman Lev Leviev). Attempts at licensing the estimated 350,000 artisinal miners has also begun.

MANAGEMENT

Gee-Ten Ventures Inc. has a well management team with experience in different areas. The management team includes:

Mr. Paul Bourque studied at Universite du Quebec (UQAT) in business administration and completed the Canadian Securities Course at the Canadian Securities Institute. He was a financial advisor for more than 12 years with two major Canadian firms. He was director, chairman of the board, president and chief executive officer of a mining company. Under his leadership, several African projects (Guinea, Ghana and Congo) were acquired and financed in Canada (Montreal) and in Europe (Italy, Switzerland, France).

Mr. Sebastien Plouffe, graduate of the Ecole des Hautes Etudes Commerciales (HEC Montreal, B.B.A. Finance) and the Canadian Securities Course (CIM), was a financial advisor for more than eight years (until November 2003) with major Canadian brokerage firms, among them, Nesbitt Burns and Canaccord Capital. Mr. Plouffe specializes in public and private corporate financing in different fields of activity. Gee-Ten Ventures hired Mr. Plouffe in November 2003 as its Financial Representative, due to his extensive experience and great many contacts in the mining field. He currently devotes his time to the financing of new mining projects for Gee-Ten Ventures, mainly in Africa.

Mr. Yaovi Bouka, Ph.D. in Management, Financial Planner has more than 20 years of experience in finance, seven of them as a professor of finance and project management and 13 years as a financial advisor and international business agent. He has assisted numerous Canadian and African companies and African governments in identifying financial and business partners for joint ventures, and financing or setting up companies and projects. Mr. Bouka is also President of the Club des entrepreneurs et professionnels africains au Canada and a member of the Canadian Council on Africa.

Dr. Paul Shatzko graduated from the University of British Columbia in medicine in 1960. This reputed radiologist practiced until 1995 in Vancouver, British Columbia. Since the beginning of his career as a radiologist, Dr. Shatzko has been interested in the mining and stock market sectors, having a geologist friend who introduced him to the field of gold and diamonds. Since 1986, he has led or held a seat on public mining companies and has participated extensively in the financing of public companies.

Mr. Jesus R. Martinez, M.Sc., P.Eng., a long-time partner of Dr. Shatzko, is a Professional Mining Engineer who obtained his Master's degree in Mining Engineering from McGill University of Montreal. Mr. Martinez has more than 30 years of experience in mining, having worked with Sherrit Golden Mines Ltd., Cominco Ltd., Suncor Inc. and Syncrude Ltd. among others, and has more than 10 years of experience as a consultant and project manager with H.A. Simons Ltd. in Vancouver.

Mr. Lawrence Moroz, a lawyer by training, was appointed to the Gee-Ten Ventures board of directors for his knowledge of international law and his extensive experience in the stock exchange. Because of his frequent travel, his profession and his great number of successes, Mr. Moroz has become an important source for many investors in the mining sector.

GEE-TEN CONSULTANT

Gee-Ten Ventures Inc. has retained the services of Mr. Bill Jarvis, P.Eng., who has worked for several years in Africa, both in gold and diamonds mines. Through his reputation, experience and passion, he has become the Company's trusted geologist. His role is to work with Endiama stakeholders and those from the Ministries of Mines to select gold and diamond properties that are economically promising. Mr. Jarvis analyzes the data he receives from Endiama management and the Ministry in cooperation with the offices that own the properties. Once he has selected the properties he considers promising, in order words, those with strong economic potential, and after receiving approval from Gee-Ten Ventures Inc., he organizes a visit to the property in question to collect more information directly from the field and take samples if appropriate. The objective is to reach an agreement with the stakeholders in Angola once Mr. Jarvis has made a positive recommendation about the property in question. Several agreements have been signed on properties in the regions of Lunda Norte and Lunda Sul, where major companies are exploiting large alluvial and kimberlite diamond mines. Based on Mr. Jarvis' recommendations, Gee-Ten Ventures' management would like to select the most promising properties and finance development projects for the properties in order to generate positive cash flow.

CONCLUSION

Angola has been experiencing strong economic growth for more than two years and is politically stable. Several multinationals in various fields of activity have established offices in the country. It is a country that is very rich in resources, namely oil, iron, copper, phosphate and above all diamonds, and is recognized around the world as having some of the highest quality diamonds. For these reasons, as well as the desire of the people of Angola to succeed, Gee-Ten Ventures' management intends to work with this country to build something that is worthy of their hopes.

With their extensive experience built up in the mining sector in Africa and the close relationship with the Angolan mining department, Gee-Ten has an advantage in selecting and developing projects in Angola.

NEWS UPDATE

On April 21, 2004, Gee-Ten Ventures Inc. announced that Mr. Daniel Ryan of First Summit Capital Corp. of Toronto, Ontario, has agreed to be appointed as Vice-President of Corporate Development for the Company. In addition, the Company has agreed to grant incentive stock options on 425,000 shares at a price of 44 cents per share under the stock option plan implemented by the Company and approved at the Company's last annual general meeting.
