INTRODUCTION

Champion Bear Resources Ltd. is a Canadian mineral exploration and development company focused exclusively on the historically prospective region of Ontario. The Company's primary target is platinum group metals and to a lesser extend
championbear1.jpg (54173 bytes) gold, poly-metallic and rare metal deposits. Champion Bear's aim is to create extraordinary shareholder value through discovery, joint venture and acquisition. The Company has assembled a large land position in the Dryden and Sudbury areas, totalling over 16,000 hectares.

PROJECT IN HAND

(1) Eagle Rock Project

The Eagle Rock property lies east of paved Highway 502 which connects Dryden and Fort Frances. It is situated within the west central portion of the Archean Wabigoon Subprovince of Northwestern Ontario. The host Entwine stock belongs to a late Archean suite of intermediate plutonic rocks classed as sanukitoids. The Entwine stock is a 35 km long elongate
championbear2.jpg (65378 bytes) (west-northwest) body, eight km wide at the west-end, narrowing to the east. It is hosted within the Irene-Eltrut Lake batholith which consists mainly of tonalitic gneisses. The Eagle Rock property covers most of the western part of the intrusive north of Entwine Lake.

The main mineralized zone contains up to 10% sulphides, including chalcopyrite, pyrite, pyrrhotite, pentlandite, millerite and associated gold, silver and PGE minerals, and up to 5% magnetite, and locally forms a distinct gossan, within rocks of gabbro to diorite composition. The host coarse grained gabbro shows irregular bands of reddish, magnetite-rich, brown, biotite-augite and greyish green augite-biotite leucogabbro with a lower magnetite content. Rocks within the mineralized zone are also variably altered. Cross-cutting dikes up to several metres wide are common. Similar mineralization is hosed by layered mafic to ultramafic intrusions at Lac des Iles in northwestern Ontario, the East Bull Lake and River Valley Instructions in the Intrusions in the Sudbury area and in the Portimo Complex in Finland.

Metallurgical test results are encouraging and show that it might be possible to produce a sulphide concentrate exceeding 20% copper, 2.5% nickel and almost one ounce of Pt+Pd+Au (11.5 g Pd/t, 9 g Pt/t, and 6 g Au/t) per tonne, which would translate into a net smelter return per tonnes of ore of approximately U.S.$16 per tonne. Anomalous PGE mineralization has been identified both to the east, south and south west, intermittently, along an arcuate zone extending for approximately ten km.

(2) Halcyon Project

The Halcyon Property consists of 53 wholly own, continuous unpatented mining claims, comprising 54 claim units and covering approximately 864 hectares located in Parkin and Aylmer Townships approximately 65 km northwest of
championbear3.jpg (57454 bytes) Sudbury. The Property is contiguous to the southeast of the Parkin property.

Previous explorers have noted chalcopyrite bearing sulphides in a volcanogenic setting from the western part of the property and elevated gold values associated with iron formation and sheared carbonatized rock in the east. There are three exploration targets in this newly acquired property:

1. Ni-Cu-PGE mineralization associated with disseminated to massive sulphide zones within the "Whistle offset dyke", a radial dyke originating from the norite and/or sublayer of the SIC.
2. Gold deposits within sulphide bearing iron formation hosted in mafic volcanoclastic rocks and base metal deposits.
3. Au within highly sheared and carbonatized shear zones in association with mafic intrusive rocks.

(3) Iron Mask Project

Iron Mask Project is a PGM, Au Olympic Dam project, has rich potential Sudbury breccia. In 2004, Champion Bear Resources Ltd. completed the gravity and induced polarization (IP) surveys and identified 13 anomalies areas. There are 7 first priority IP targets (potential massive sulphides). Total 84 additional claim units added in 2004. The Company plans to do the drill testing of priority targets (2,500 m), and tries to receive the detailed field surveys in the existing targets, with additional gravity, IP, magnetic and geological surveys in adjacent areas.

(4) Parkin Project

The Parkin offset dyke is located immediately to the west of the Halcyon project. In 2004, the Company completed the Parkin North drill holes, 300 metres deep and identified coincident induced polarization (IP) and mobile metal ion (MMI) Pd target (prepare for winter drilling). Compilation map for south portion has been completed. The Company proposed to drill and prepare the detailed mapping in North Block (with MMI target follow up), reconnaissance mapping in new northeast claims. And in the South Block, the Company will review all data and to do more deeper IP testing.

(5) Plomp Farm Project

The Plomp Farm is located in Aubrey Township approximately 22 km west of Dryden, Ontario. Champion Bear has recently reacquired an undivided 100% interest in the property. The proposed program in 2005 include additional
championbear7.jpg (48657 bytes) re-logging and sampling of existing core, review all the Teck-Cominco data, to drill (5,000+ metres) in two stages, to complete the geophysical surveys and finish the Gemcom model.

The property lies within "Warclub" Sedimentary Assemblage. The bedrock comprise argillites, greywackes and iron formation that is interbedded with felsic volcanic, quartz porphyry and minor mafic intrusive rocks.

(6) Separation Rapids Rare Metals Project

The Separation Rapids project includes the Marko Pegmatite Zone and the Glitter Lake Zone. There is no field activity undertaken in 2004 and the Company plans to maintain the property in 2005.

MANAGEMENT

Champion Bear Resources Ltd. has a well management team with experience in different areas.

Richard Kantor, Chairman, President and Director
Mr. Kantor has been the President and Director of the Company since its incorporation in 1987 and has over 40 years of
championbear6.jpg (60947 bytes) experience in the mining, oil and gas and finance industries. As Vice-President, Land of Barrington Petroleum Limited, he was instrumental in founding and organizing the business and enterprise of the company.

David R. Haigh, Q.C., Director
Mr. Haigh has been a director of the Company since 1997. Mr. Haigh is a partner at the law firm of Burnet, Duckworth & Palmer LLP, Calgary, Alberta, specializing in commercial litigation and international commercial arbitration, with extensive experience in oil and gas, corporate, commercial and constriction related litigation.

Barry T. Davies, Director
Mr. Davies has been a director of the Company since 2003. Mr. Davies is a mining engineer with 30 years experience in mineral exploration, mine development, operations and corporate management. During more than 20 years with the BHP Group he held senior management positions with responsibility for exploration and development projects in Southeast Asia and South Africa and was Vice President Strategic Planning and Development for BHP Minerals in Australia. He is currently Managing Director of Westpine Inc., a private mining investment company in Calgary.

NEWS UPDATE

On December 01, 2005, Champion Bear Resources Ltd. and Wallbridge Mining Company announced that they have entered into an option and joint venture agreement covering 117 claim units (approximately 1,872 hectares) of the 19 claims comprising the northeastern portion of Champion Bear's Iron Mask claims situated in Harty and Hess townships in Sudbury, Ontario. These claims cover approximately 14 km of strike length of the Hess Offset dyke.

On September 14, 2005, Champion Bear Resources Ltd. announced that a recently completed ground magnetic survey confirms the western extension of the main gold horizon over the Company's entire Plomp Farm Property (including the western claims optioned from Teck-Cominco), a distance of more than 4 km. Champion Bear has also completed an IP survey and selected quantitative sections covering the same grid. Champion Bear is planning a two-pronged exploration program for the Plomp Farm Property including geological and structural surface mapping and an extensive 8,000 plus metre diamond drilling program. The field mapping and diamond drilling are expected to commence in October.

On June 22, 2005, Champion Bear Resources Ltd. announced that it has engaged Terraquest Ltd. to complete a High Resolution Horizontal Gradiometer Aeromagnetic and Radiometric Survey to cover the western portion of the Entwine Intrusive located on its Eagle Rock Property in the Dryden area. The objectives of the survey are to define in more detail the extent of the mineralized strata at the Campbell Zone where previous work has traced anomalous mineralization along a strike length in excess of 1.1 km and to test for other potential targets elsewhere within the intrusive complex. The Company is also starting a program to conduct a magnetic susceptibility survey and to re-log and resample the previous drill core to better define the controls on mineralization.

On June 01, 2005, Champion Bear Resources Ltd. announced that it has completed drilling nine additional test holes totaling approximately 2,790 metres and re-logging and re-sampling 35 previously drilled holes totaling approximately 13,756 metres for its Plomp Farm gold project in Dryden. The Company continues to be encouraged by the results of its ongoing exploration program. The recently defined mineral zonation and alteration patterns are consistent with the Company's model of a westward plunge to the zonation and anomalous gold mineralization. The drilling and re-logging program, along with the detailed property wide magnetic and IP surveys currently being completed and the mapping program planned for this summer will complete the property assessment program undertaken by Champion Bear over the last two years.

On January 18, 2005, Champion Bear Resources Ltd. announced that it has agreed, subject to the receipt of regulatory approval, to grant Richard D. Kantor, the Chairman and President of the Company, 125,000 options to purchase common shares of the Company at an exercise price of $0.80 per share, and vesting as to 25% immediately and 25% on each of the six month, twelve month and eighteen month anniversaries of the date of grant, exercisable for a period of five years.

On December 16, 2004, Champion Bear Resources Ltd. announced that it intends to complete the private placement of up to 1,875,000 flow-through common shares at a price of $0.80 per share for total gross proceeds of up to $1,500,000, subject to receipt of all applicable regulatory approvals. Champion Bear intends to use the proceeds of the offering for its 2005 exploration program on its Plomp Farm Gold Property located in Dryden, Ontario and its Iron Mask Property located in Sudbury, Ontario, which exploration program are expected to commence in January 2005.

On December 13, 2004, Champion Bear Resources Ltd. announced that Mr. Kenneth A. Hawrelak, C.A. has been appointed to the position of Chief Financial Officer of the Company. In addition, Richard D. Kantor, the President of the Company, has assumed the position of Chairman of the Board of Directors.

On November 18, 2004, Champion Bear Resources Ltd. announced that it has commenced a 1,200 metre drilling program at its Iron Mask Property to test five of the highest priority targets identified from the ground gravity and ground induced polarization (IP) surveys recently completed on the property, the results of which are disclosed in Champion Bear's news releases dated September 01, 2004 and October 12, 2004.

Elsewhere in Sudbury, the Company has completed additional mobile metal ion (MMI) and induced polarization (IP) surveys over the western portion of its Halcyon Property which covers the northeastern projection of the "Whistle Offset Dyke Structure" currently being explored by FNX Mining Company Inc. and Namex Explorations Inc. Champion Bear's recent drill hole HAL-04-10 drilled adjacent to this structure encountered 3.6 metres assaying 0.29% Ni (see Champion Bear's news release dated October 26, 2004). Results of the MMI and IP surveys are expected by the middle of December.

On October 26, 2004, Champion Bear Resources Ltd. reported the results of its drilling program from its Halcyon and Parkin North gold and PGE properties located in Parkin Township, Ontario. Eleven holes were drilled for a total of 2,471 metres of which ten holes totalling 2,172 metres (holes HAL04-01 to HAL04-10) were drilled on the Halcyon property to test various coinciding soil mobile metal ion and induced polarization anomalies identified in 2003.

CONCLUSION

Champion Bear Resources Ltd. is a junior mining company but with several good potential project in Ontario, such as Iron Mask project, Plomp Farm project and others. The management put their total effort in developing these projects. The recommended exploration budget in 2005 is around 3 million to 4 million dollars. The focus is as follows:
